In accordance with the terms of the International Paper Company Restricted Stock and Deferred Compensation Plan for Non-Employee Directors (Plan), when I resigned from my position with International Paper, a pro rata portion of my restricted stock vested based on the number of months that I served on the board during the period May 2020-April 2021. I forfeited any restricted stock that was unvested as of the date of my resignation. Also pursuant to the Plan, in January 2022 International Paper liquidated my vested restricted stock units and gave me a cash payout that was determined based upon the closing value of the stock as of December 2021.
